Privacy Policy

1. Acceptance of Terms

By accessing or using any services provided by IT Solutions & Technology ("Company"), you agree to be bound by these Terms and Conditions. If you do not agree to all terms, do not use our services.

2. Services Description

IT Solutions & Technology provides IT consulting, software development, system integration, cloud services, cybersecurity solutions, and related technology services ("Services"). All Services are subject to these Terms and any applicable statements of work or service agreements.

3. Client Responsibilities

  • Provide accurate and complete information necessary for service delivery
  • Designate a qualified representative with authority to make decisions
  • Provide timely access to systems, personnel, and facilities as needed
  • Obtain necessary licenses for third-party software we will be working with
  • Back up data and systems prior to service engagement

4. Intellectual Property Rights

Pre-existing intellectual property of each party remains the property of that party. The Company retains ownership of all methodologies, tools, frameworks, and pre-existing code used in providing Services. Custom developments created specifically for the Client will be transferred upon full payment, unless otherwise specified in a separate agreement.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information received during the term of service. This obligation extends for three years after termination of services, except for information that becomes publicly available through no fault of the receiving party.

6. Payment Terms

Fees for Services are as specified in the proposal or statement of work. Unless otherwise agreed:

  • Payment is due within 30 days of invoice date
  • Late payments may incur interest at 1.5% per month
  • Client is responsible for all taxes associated with Services
  • Expenses will be billed monthly with appropriate documentation

7. Limitation of Liability

In no event shall IT Solutions & Technology's total liability to the Client exceed the fees paid by the Client for the specific Services giving rise to the claim. The Company shall not be liable for any indirect, special, incidental, or consequential damages.

8. Service Warranty

The Company warrants that Services will be performed in a professional manner consistent with industry standards. This warranty is valid for 30 days from service completion. The sole remedy for breach of this warranty is re-performance of the deficient Services.

9. Termination

Either party may terminate a service agreement for material breach if the breaching party fails to cure such breach within 30 days of written notice. Upon termination, the Client will pay for all Services rendered and expenses incurred up to the termination date.

10. Data Protection

The Company will implement reasonable security measures to protect Client data. The Client retains ownership of all their data. The Company will not access, use, or disclose Client data except as necessary to provide Services or as required by law.

11. Governing Law

These Terms and any separate agreements whereby we provide Services shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered.

12. Changes to Terms

IT Solutions & Technology reserves the right to modify these Terms at any time. Continued use of Services after changes constitutes acceptance of the modified Terms.
